Abstract

В статье исследуются правовые и экономические критерии разграничения временной и постоянной неплатежеспособности на основе законодательства Республики Узбекистан, стандартов ЮНСИТРАЛ и Всемирного банка, модели превентивной реструктуризации Европейского союза, а также подходов Германии, Великобритании и США. Центральной проблемой является отделение краткосрочного дефицита ликвидности жизнеспособного предприятия от состояния, при котором финансовая несостоятельность приобрела устойчивый характер и восстановление платежеспособности не подтверждается реалистичным сценарием. Cash-flow test, balance-sheet test, imminent insolvency, going-concern assessment и early-warning indicators рассматриваются как взаимосвязанные, но функционально разные инструменты. Обосновывается, что квалификация неплатежеспособности не должна зависеть от одного срока просрочки либо от статического балансового показателя. Предлагается шестифакторная диагностическая матрица, включающая текущую и прогнозную ликвидность, качество покрытия активами, операционную жизнеспособность, доступ к финансированию и сопоставление результата реструктуризации с ликвидационным сценарием. Для практики Узбекистана предлагается использование 12–24-месячного горизонта прогнозирования и стандартизация мотивировки судебных актов.
